Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of the ZMCP software product ("Service") provided by Datastroom IT (Pty) Ltd ("Company", "we", "us"), a company registered in the Republic of South Africa. By purchasing a license or using the Service, you ("Customer", "you") agree to be bound by these Terms.

2. Service Description

ZMCP is a software integration layer that exposes SAP system capabilities as MCP (Model Context Protocol) tools for consumption by AI assistants. The Service consists of ABAP code installed on the Customer's SAP system, an optional CLI bridge component, and a browser-based Chat UI. ZMCP does not host, process, or store Customer data outside the Customer's own SAP system.

3. License

Upon purchase, the Customer is granted a non-exclusive, non-transferable license to use ZMCP on one SAP system (identified by System ID). The license is valid for the subscription period (annual). Multi-system licenses are available for customers who wish to connect additional SAP systems.

• The license key is bound to a single SAP System ID and cannot be transferred to another system without prior arrangement.
• The Customer may not redistribute, sublicense, or resell the software.
• The Customer may not reverse-engineer, decompile, or create derivative works from the software, except as permitted by applicable law.

4. Customer Responsibilities

The Customer is responsible for:

• Ensuring their SAP system meets the documented prerequisites (S/4HANA 2021+, ABAP 7.57+, SAP HANA database).
• Configuring appropriate SAP authorization roles and access controls for ZMCP service users.
• Evaluating the suitability of any AI provider (Anthropic, Google, OpenAI, DeepSeek, etc.) for their data classification and compliance requirements.
• Managing API keys and credentials for third-party AI services. The Company does not provide or manage AI provider subscriptions.
• Reviewing and validating any output produced by AI models. ZMCP facilitates tool access; it does not control AI model behaviour or accuracy.

5. Data and Privacy

• ZMCP runs entirely within the Customer's SAP system. No Customer data is transmitted to or stored by the Company.
• When the Customer uses third-party AI providers via the Chat UI, data is sent directly from the Customer's SAP system (or browser) to the AI provider's API. The Customer is responsible for reviewing the AI provider's data processing terms.
• The data masking feature is provided on a best-effort basis to tokenize sensitive fields before they reach AI providers. It does not guarantee complete coverage of all sensitive data. Customers should not rely solely on masking for regulatory compliance.

6. Support

Support is provided via email at support@zmcp.app on a best-effort basis during business hours (South African time, UTC+2). Support covers installation assistance, configuration guidance, and defect reports. Support does not include SAP Basis administration, AI model tuning, or custom development.

If the Customer modifies, extends, or otherwise alters the delivered ABAP source code or any other component of the Service, support obligations are void. The Company is under no obligation to diagnose or resolve issues arising from modified software. To restore support eligibility, the Customer must revert to the unmodified version as delivered.

7. Availability and Updates

The Company may release updates to the software from time to time. Updates are provided to active subscribers at no additional cost. The Company does not guarantee specific release schedules or feature timelines. The Customer is not obligated to install updates.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
• The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of or inability to use the Service.
• The Company's total aggregate liability under these Terms shall not exceed the amount paid by the Customer for the Service in the twelve (12) months preceding the claim.
• The Company does not accept liability for the output, accuracy, decisions, or actions of any AI model used in conjunction with the Service.
• The Company does not accept liability for data exposure resulting from the Customer's choice of AI provider or misconfiguration of data masking rules.

9. Termination

Either party may terminate the license at the end of the current subscription period by not renewing. The Company may terminate the license immediately if the Customer breaches these Terms. Upon termination, the Customer's license key will be deactivated. The ABAP code remains on the Customer's system but will cease to function without a valid license.

10. Governing Law

These Terms are governed by the laws of the Republic of South Africa. Any disputes arising under these Terms shall be subject to the jurisdiction of the courts of South Africa.

11. Changes to These Terms

The Company reserves the right to update these Terms from time to time. Material changes will be communicated via email to active subscribers. Continued use of the Service after changes constitutes acceptance of the updated Terms.
